Licensing Policy

Permitted Use:

The Licensee is granted the right to use the Software for internal purposes related to corporate governance, audit archive review, and associated activities. The Software may be installed and used by the Licensee on a reasonable number of devices or servers within the Licensee's organization.

License Types:

The Licensor offers different types of licenses for the Software, including but not limited to single-user licenses, multi-user licenses, and enterprise licenses. The Licensee is required to choose the appropriate license type based on their usage requirements.

Restrictions:

a. The Licensee shall not sublicense, sell, lease, rent, or otherwise transfer the Software or any portion thereof to any third party.

b. The Licensee shall not modify, adapt, translate, reverse engineer, decompile, or disassemble the Software, except to the extent expressly permitted by applicable law.

c. The Licensee shall not remove or alter any copyright, trademark, or other proprietary notices from the Software.

 

Updates and Support:

The Licensor may, at its discretion, provide updates, bug fixes, and support services for the Software during the license period. The Licensee is entitled to such updates and support services if available.

Term and Termination:

a. The license is effective for the period specified in the license agreement. It may be terminated earlier by the Licensor if the Licensee breaches any term or condition of this Licensing Policy.

b. Upon termination, the Licensee must cease all use of the Software and destroy all copies in their possession or control.

Fees:

The Licensee agrees to pay the applicable fees for the license type chosen. Failure to pay fees in a timely manner may result in the suspension or termination of the license.

Confidentiality:

The Software contains proprietary information of the Licensor. The Licensee agrees to keep the Software and any related documentation confidential and not disclose it to any third party without the Licensor's prior written consent.

Governing Law:

This Licensing Policy shall be governed by and construed in accordance with the laws of without regard to its conflict of law principles.

Miscellaneous:

a. This Licensing Policy constitutes the entire agreement between the parties concerning the Software and supersedes all prior and contemporaneous agreements.

b. The Licensor reserves the right to update this Licensing Policy at any time, and such updates will be effective upon notice to the Licensee.
